Gottfried Shareholder Advisory LLC is a strategic advisory firm focused on shareholder activism defense. We advise public companies on how to be less vulnerable to an activist investor, how to plan for the day when they may be targeted by an activist investor and, when targeted, how to execute a highly strategic, holistic, and efficient shareholder activism defense. We work collaboratively and in close coordination with the company’s legal and other advisors.

The firm is led by Keith Gottfried, a trusted, highly experienced, and battle-tested shareholder activism defense advisor. Over the course of a career that spans over 30 years, working at some of the country's most prominent firms, Keith has advised numerous companies and their boards on their defense against high-profile proxy contests, special meeting demands,  consent solicitations, and unsolicited acquisition proposals.  Because activism campaigns may often resemble political campaigns, Keith also brings to clients the political insight he gained as a former US Senate–confirmed, senior-level White House appointee.

Keith's work as an advisor on shareholder activism and other matters has been recognized on numerous occasions. In both 2018 and 2019, Keith was named by the National Association of Corporate Directors (NACD) to its list of Directorship 100 honorees, which recognizes the most influential people in the boardroom community, including directors, corporate governance experts, regulators, and advisors.
